Live Contracts

Material contracts (EX-10 exhibits) from SEC filings as they are filed: converted to Markdown, searchable on the web and through a public MCP server.

/ Overview

Material contracts reach the public through SEC filings: credit agreements, employment agreements, supply and licence deals, filed as EX-10 exhibits to 8-Ks, 10-Qs and 10-Ks. They are the closest thing to a public record of how companies actually contract, and they are hard to use where they sit. Live Contracts collects them as they are filed, converts each exhibit to Markdown, and makes the corpus searchable on the web and callable by AI agents through an MCP server.

/ What it does

  • Watches EDGAR’s real-time feed and full-text search for new filings, keeps those with an EX-10 exhibit, and converts each exhibit to Markdown with a link back to the filing on sec.gov.
  • Serves the corpus at live-contracts.arthur.law: a feed of the latest agreements, search, and one page per agreement.
  • Exposes four MCP tools (list_recent_agreements, search_agreements, browse_agreements, get_agreement) at /mcp, so an agent can find and read agreements directly.
  • Publishes the whole table as a Parquet dataset on Hugging Face.

/ How it is built

A small Rust producer does the fetching, extraction and conversion and pushes rows to a Cloudflare Worker backed by D1. It identifies itself to the SEC by name and contact address and stays inside the SEC’s fair-access limits. A push that is not accepted waits in a durable outbox and is retried; one bad filing is skipped without stopping the rest; an exhibit longer than the database stores is kept, marked truncated, and linked to the full text.

/ Status

Ingest stopped on 2026-08-07, when the hostname was routed to another Worker. It was restored on 2026-10-02, and the gap was backfilled from the SEC’s daily form indexes. A weekday check on /stats.json now raises an alert if new filings stop arriving.
